Overview

Welcome to AgenticForge Labs! These Terms of Service ("Terms") govern your use of our websites, online store, products, and services (collectively, the "Services").

AgenticForge Labs, LLC ("we," "us," or "our") operates the AgenticForge Labs, Phenotyper, and AgenticForge Studio brands. Our offerings include scientific equipment, laboratory supplies, robotics, 3D-printed products, software, custom engineering, and related services.

Our online store is powered by Shopify. By accessing or using our Services or placing an order, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use the Services. Nothing in these Terms limits rights or remedies that cannot legally be excluded.

1. Accounts and Access

You must be legally capable of entering into a binding agreement or authorized to make purchases on behalf of an organization.

You agree to provide accurate, current, and complete information when using our Services or placing orders. You are responsible for maintaining the security of your account credentials and activities conducted through your account.

2. Products and Services

We strive to provide accurate product descriptions, specifications, photographs, and pricing. Product appearance, color, and surface finish may vary slightly due to manufacturing processes, materials, or display settings.

We may update specifications, modify products, or discontinue offerings without notice, subject to obligations under accepted orders.

Scientific instruments and robotic systems may require installation, calibration, maintenance, training, and appropriate safety procedures. Customers are responsible for determining suitability for their intended applications and following applicable regulations.

Unless expressly stated otherwise, scientific products are intended for research, educational, or industrial use and are not represented as medical devices or approved for clinical diagnostic applications.

3. Orders

Submitting an order constitutes an offer to purchase. We may accept, decline, or cancel orders subject to applicable law. If we cancel an order after payment has been collected, we will issue the applicable refund.

Please review orders carefully before submission. Cancellation may not be possible once fulfillment or manufacturing has begun.

Returns and exchanges are governed by our Return and Refund Policy.

Custom equipment, engineering services, and made-to-order products may be subject to additional terms in quotations, statements of work, or written agreements. Those agreements take precedence for the applicable transaction where their terms differ from these Terms.

4. Pricing and Payment

Prices and promotions may change without notice. The price confirmed at checkout governs an accepted order unless otherwise agreed.

Applicable taxes, shipping charges, customs duties, and other fees may be added at checkout or specified in a quotation.

You authorize charges to your selected payment method and agree to provide accurate billing information.

Institutional purchase orders, deposits, milestone payments, and other arrangements may be accepted under separate written agreements.

5. Shipping and Delivery

Shipping and delivery dates are estimates unless expressly guaranteed. Preorders, custom equipment, and made-to-order products may require additional production time.

We will make reasonable efforts to communicate significant delays. We are not responsible for delays caused by circumstances beyond our reasonable control, except as required by applicable law.

Responsibility for loss or damage during shipping is governed by applicable law and any agreed shipping terms.

6. Intellectual Property and Open Source

Our trademarks, logos, original content, commercial designs, proprietary software, and technologies are protected by applicable intellectual property laws.

Some of our software, scientific resources, research datasets, designs, and documentation are publicly released under open-source or open-content licenses. Those licenses govern the permitted use, copying, modification, and distribution of the corresponding materials.

Nothing in these Terms restricts rights expressly granted by an applicable open-source or open-content license.

Purchasing a product does not transfer ownership of underlying intellectual property unless expressly agreed. Third-party trademarks, software, and other intellectual property remain the property of their respective owners.

7. Optional Tools and Integrations

Our Services may include third-party software, payment systems, integrations, or optional tools governed by their providers' terms.

We do not guarantee the independent availability or operation of third-party systems beyond our control. Additional features and integrations may be introduced or modified over time.

8. Third-Party Links

Our websites may link to external websites, scientific publications, software repositories, manufacturers, and suppliers.

We do not control or necessarily endorse third-party content, products, services, or policies. Use of external resources is subject to their respective terms.

9. Relationship with Shopify

Our online store uses Shopify's ecommerce infrastructure. Purchases are transactions between customers and AgenticForge Labs, LLC, not Shopify.

Shopify is not responsible for the manufacture, specifications, quality, installation, or fulfillment of products sold by AgenticForge Labs.

Shopify independently provides certain platform services and processes information under its applicable terms and privacy policies.

10. Privacy

Our Privacy Policy explains how personal information is collected, used, stored, and shared.

Shopify and other service providers may process information necessary for transactions, security, customer support, and store operation.

11. Feedback and Submissions

We welcome product suggestions, reviews, and feedback.

By voluntarily submitting nonconfidential feedback, you grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, and display that feedback for legitimate business purposes, including product improvement and promotion.

This does not transfer ownership of your research data, inventions, confidential information, or independently developed intellectual property.

Materials submitted under separate confidentiality, research collaboration, or development agreements remain subject to those agreements.

You represent that you have the necessary rights to submit any materials you provide.

12. Errors and Inaccuracies

Our websites may occasionally contain errors involving product descriptions, prices, specifications, availability, or shipping information.

We may correct such errors and update website content. If an error materially affects an accepted order, we will notify the customer and provide an appropriate resolution consistent with applicable law.

13. Prohibited Uses

You may not use our Services to:

• Violate applicable laws or third-party rights.
• Submit fraudulent orders or misleading information.
• Distribute malware or attempt unauthorized system access.
• Bypass authentication or other security controls.
• Interfere with website operation or service availability.

Legitimate automated discovery, research, accessibility, indexing, and authorized purchasing are permitted subject to Section 14 and applicable platform requirements.

14. AI Agents and Automated Access

AgenticForge Labs supports responsible use of artificial intelligence, software agents, automated research systems, and machine-readable interfaces.

AI agents, search engines, research tools, and other automated systems may access publicly available product information through permitted methods, subject to applicable technical restrictions and platform rules.

Automated systems must:

• Respect applicable crawler directives, access controls, and rate limits.
• Not circumvent authentication, CAPTCHAs, or security measures.
• Not disrupt website operation or impose excessive loads.
• Identify automated activity truthfully when required.
• Respect intellectual property rights, privacy requirements, and applicable licenses.
• Obtain appropriate customer authorization before initiating purchases or other transactions.

We may provide machine-readable catalogs, APIs, Model Context Protocol (MCP) interfaces, or other agent-accessible services under additional published terms.

We reserve the right to restrict abusive automated activity. Nothing in this section overrides the technical restrictions or terms of Shopify or other service providers.

15. Termination

We may suspend or terminate access to our Services for violations of these Terms, fraudulent conduct, or security concerns, subject to applicable law.

Termination does not eliminate outstanding payment obligations or rights that survive under applicable law.

Provisions concerning intellectual property, liability, indemnification, and other obligations intended to survive termination will remain effective where applicable.

16. Warranties

We stand behind our products according to their published specifications, applicable express warranties, and our Return and Refund Policy.

Except as expressly provided or required by law, our websites, software services, and optional tools are provided "as available," without guarantees of uninterrupted or error-free operation.

Scientific measurements and automated outputs may depend on calibration, sample preparation, operating conditions, and user configuration. Customers are responsible for appropriately validating results for their intended applications.

Nothing in these Terms excludes warranties or remedies that cannot legally be excluded.

17. Limitation of Liability

To the fullest extent permitted by law, AgenticForge Labs, LLC and its employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or loss of data arising from our Services or products.

To the extent permitted by law, our aggregate liability arising from a purchased product or service will not exceed the amount paid for that product or service.

These limitations do not apply where prohibited by law, including liability that cannot be excluded for personal injury, fraud, willful misconduct, or other legally protected claims.

Nothing in this section eliminates express warranties, legally required remedies, or obligations expressly assumed under a separate written agreement.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless AgenticForge Labs, LLC and its representatives against third-party claims, losses, and reasonable legal expenses arising from your unlawful use of our Services, material breach of these Terms, or infringement of third-party rights.

This obligation does not extend to our own negligence, misconduct, or liability that cannot lawfully be transferred.

19. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.

Nothing in these Terms limits rights that cannot be waived under applicable law.

20. Entire Agreement and Waiver

These Terms, our referenced policies, and any applicable written purchase agreements constitute the entire agreement governing the Services and supersede prior agreements or communications concerning the same subject matter.

Where an expressly accepted quotation, statement of work, or other written agreement establishes different terms for a particular transaction, that agreement will govern the applicable transaction.

Failure to enforce any provision does not waive our right to enforce it later.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except as permitted by law.

We may assign these Terms in connection with a merger, acquisition, business reorganization, or transfer of business assets, subject to applicable law.

22. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles, except where mandatory provisions of applicable law require otherwise.

Disputes will be handled by courts of competent jurisdiction. Nothing in this section limits any rights customers may have under applicable consumer protection laws.

23. Translations

These Terms may be provided in languages other than English. In the event of an inconsistency, the English version will govern to the extent permitted by applicable law.

24. Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

25. Electronic Communications

By using our Services or placing an order, you consent, to the extent permitted by law, to receiving transactional and service-related communications electronically, including order confirmations, shipping updates, return information, account notifications, and changes to these Terms.

Electronic communications may be delivered by email, account notification, or notices posted on our websites, as appropriate and permitted by law.

You are responsible for maintaining accurate contact information. Marketing communications are governed by applicable consent requirements and our Privacy Policy.

26. Changes to These Terms

We may update these Terms to reflect changes in our business, products, Services, or legal requirements.

The current version will be available on this page. We will provide notice of material changes where required by law.

Changes generally apply prospectively and do not override previously accepted purchase agreements. Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.
